The approved merger transaction, “by way of a scheme of amalgamation,” will result in Aster being renamed to Aster DM Quality Care Ltd.
Before the merger, Aster will purchase a 5% stake in QCIL from BCP Asia and Mauritius Holdings Ltd (Centella), the existing shareholders of Quality Care. This transaction will be in consideration of a primary share issuance by Aster, CCI said in a press release.
The existing shareholders, including BCP Asia, Mauritius Holdings and certain minority stakeholders, will hold a certain stake in the merged entity. However, Mauritius Holdings will have a less than 10% stake without control rights in Aster DM Quality Care, the press release stated.
